AMD to buy World Labs in USD $8.2bn all-stock deal

AMD has agreed to acquire World Labs in an all-stock deal that values the artificial intelligence research company at about USD $8.2 billion.

The transaction would bring World Labs co-founder and Chief Executive Officer Dr Fei-Fei Li to AMD, where she is set to become Executive Vice President and Chief Scientist after the deal closes.

Based in San Francisco, World Labs focuses on spatial-intelligence models that generate, reconstruct and simulate interactive 3D environments from text, image and video inputs. The company also develops technology for robotic learning and simulation.

The acquisition would add a team of researchers and model specialists as chipmakers and computing infrastructure groups compete to align their products more closely with changing artificial intelligence workloads.

It also gives AMD direct access to a lab working on models tied to reasoning, robotics, simulation and what it described as physical AI. Those areas are drawing growing attention across the industry as developers push beyond chatbots and image generation into systems that interact with digital and physical environments.

For AMD, the purchase also signals that semiconductor groups are looking further up the artificial intelligence stack. Rather than only supplying processors and related systems, hardware companies increasingly want closer ties to the researchers building the models that will shape demand for future computing infrastructure.

Dr Li is one of the best-known figures in artificial intelligence research and has long influenced the development of computer vision and broader AI work. Her move into a senior scientific role at AMD would add academic and commercial weight to the company's efforts to expand its position in a market dominated by a small number of large players.

AMD has been investing heavily in artificial intelligence as it seeks to strengthen its position against rivals in data centre chips and systems. The company has pushed to build a broader portfolio spanning accelerators, software and server technology as demand for AI computing infrastructure has surged.

Model insight

A key rationale behind the acquisition is the view that a closer understanding of advanced models can help shape processor and system design. As model architectures and applications change, chipmakers face pressure to adapt products for new mixes of training, inference, simulation and robotics-related tasks.

World Labs' work in spatial intelligence may give AMD insight into how future AI applications will use computing resources differently from today's large language model deployments. Interactive 3D environments, robotic systems and simulation tools can place different demands on memory, latency, throughput and software integration.

That could shape AMD's product planning across hardware and software, especially as customers seek infrastructure suited to a wider range of AI uses. AMD said the World Labs team would continue to focus on advancing AI model research after the transaction closes.

Dr Li set out her view of the combination in a separate statement.

"Advancing the next generation of AI technology requires close collaboration across model research, systems and compute," said Dr Fei-Fei Li, Co-Founder and Chief Executive Officer of World Labs. "Joining AMD will give our team the resources and engineering depth to accelerate our research and help define the infrastructure needed for the next era of AI."

Deal terms

The acquisition is structured as an all-stock transaction. AMD expects the deal to close by the end of 2026, subject to regulatory approvals and customary closing conditions.

No further financial details were disclosed beyond the approximate valuation. At USD $8.2 billion, the purchase is a significant bet on research talent and strategic positioning rather than on a mature revenue business, underlining how intensely major technology groups are competing for scarce AI expertise.

The deal also reflects a broader pattern of consolidation and talent acquisition across the artificial intelligence sector. Large computing companies have been seeking teams with expertise in model development, multimodal systems, robotics and simulation as they try to secure an advantage in a market where technical direction can shift quickly.

After completion, World Labs' staff are expected to remain focused on research inside AMD. In her new role as Executive Vice President and Chief Scientist, Dr Li will report to Dr Lisa Su.
